Herceg Novi is one of the smallest municipalities in Montenegro, so without it they wouldn't lose much land or population, and thus, for a decent amount of money, Montenegro would be okay with selling it to Serbia.

That way, if you try to form Yugoslavia, the Konspiracija will coup the country and proclaim Greater Serbia. A while after, you will get revolts on all sides which you will probably lose.
